Terms of sale

## Scope and parties

These terms apply to business-to-business sales of custom merchandise by EnjoyGroup Sp. z o.o. (operating as TribuniQ) to clubs, academies, supporters groups, schools, retailers and similar organisations. Any client purchase terms only apply if expressly accepted by us in writing. Communication and documents are available in English, German or Polish.

## Quotes, pricing and minimums

Written quotes state the specification, minimum order quantity, packaging, delivery terms and the price per piece; we normally issue the written quote within two working days. Prices depend on quantity, number of colours, size, single- or double-sided construction, and packaging. Quote validity, currency and any surcharges are stated in the quote. We do not publish prices online. EU VAT invoicing is issued by an EU company; any taxes, duties or import fees outside the EU are handled as agreed in the quote (DDP available on request).

## Orders, artwork, proofs and samples

An order consists of your written approval of the final artwork and specification, the quantities per design/size, and our written order confirmation. Design is free with a production order; artwork is created for the client and never resold. We provide a digital design proof within 48 hours. A physical pre‑production sample can be supplied in 7–10 days where applicable; the sample cost is credited against the production order. Colours are matched to Pantone or thread charts on request; due to different materials and processes, reasonable shade variations between proofs, samples and bulk production may occur.

## Production, lead times, payment and delivery

Production starts after written approval and receipt of the deposit stated in the quote. Typical lead times from approval are as shown on product pages and confirmed in the order confirmation (e.g. knitted jacquard scarves 3–5 weeks; HD printed scarves 2–3 weeks; silk & satin scarves 2–3 weeks; snoods/neck warmers 3–5 weeks; kids team kits and team jerseys 3–4 weeks; mascot plush prototype 2–3 weeks and production 8–10 weeks). Payment terms are deposit on order and balance before shipping. Delivery is from the EU by express courier or freight, worldwide. DDP (duties prepaid) for non‑EU countries is available on request; otherwise the buyer is the importer of record. Risk and title transfer as stated in the quote; unless agreed otherwise, risk passes on delivery to the carrier and title passes on receipt of full payment. We can deliver directly to your stadium, academy or club shop.

## Quality, complaints and remedies

All goods are inspected by us before shipment. Please check deliveries on arrival and notify us in writing of any shortage, damage or non‑conformity within a reasonable time, including photos and batch details. Our remedies are, at our discretion, repair, remake/replacement, or credit for the affected items. Custom goods cannot be returned or cancelled once produced. Reasonable industry tolerances apply to size, weight, colour and placement on textile and plush products. Safety and compliance: mascot plush is EN71‑1/2/3 tested with CE and GPSR labelling; textile materials are REACH‑compliant; additional documentation can be provided on request. We label the goods as required for the agreed market.

## Intellectual property and licensing policy

We produce club crests, club names, league marks and mascots only for the rights holder (the club, league, school) or with its written consent. Supporters groups can order their own designs, and may include club crests only with written consent from the club. We never sell crested products of clubs to third parties. These rules reflect EU case law (Arsenal v Reed). You warrant that you have the rights or permissions for all elements you ask us to produce, and you indemnify us for any third‑party claims arising from your instructions. Our artwork created for your order is made for you and is never resold by us.

## Cancellations, force majeure, liability and law

Changes after approval may affect price and lead time. Cancellation before artwork approval is without charge other than any agreed sample or special procurement costs; after approval or once materials are purchased or production has begun, cancellation charges up to the full order value may apply. We are not liable for delays or non‑performance caused by events beyond our reasonable control (force majeure), including but not limited to material shortages, transport disruption, customs delays or regulatory changes. To the extent permitted by law, our liability for any claim is limited to the amount paid for the goods concerned and excludes indirect or consequential loss. These terms and any dispute are governed by Polish law, with the competent courts in Poland, after the parties have attempted an amicable resolution in good faith.
